Welcome to Explia Technologies. These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications offered by Explia Technologies ("we", "our", or "us"). Please read these Terms carefully before using our services.
By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the services.
1. Scope of Services
Explia Technologies provides a range of IT and software engineering services, including but not limited to custom software development, mobile application development, product design, cloud infrastructure architecture, and technical consulting. The specific scope, deliverables, timeline, and pricing of any project will be outlined in a separate, formal Statement of Work (SOW) or Master Services Agreement (MSA) executed by both parties.
2. Intellectual Property Rights
2.1 Client Materials: You retain all rights, title, and interest in and to any materials, data, or intellectual property you provide to us for the purpose of executing a project. You grant us a limited, non-exclusive license to use these materials solely for the purpose of providing the agreed-upon services.
2.2 Explia Technologies IP: Unless otherwise specified in a formal agreement, Explia Technologies retains all rights, title, and interest in and to our pre-existing intellectual property, frameworks, libraries, and methodologies used during the development process.
2.3 Deliverables: Upon full and final payment for our services as outlined in the respective SOW, clients are typically granted the intellectual property rights to the final custom deliverables (e.g., source code, design assets). We reserve the right to withhold transfer of IP until all outstanding invoices are settled.
3. User Responsibilities and Acceptable Use
When utilizing our services or interacting with our platforms, you agree that you will not:
- Use the services for any illegal or unauthorized purpose, or in violation of any local, state, national, or international law.
- Attempt to gain unauthorized access to our infrastructure, servers, or networks connected to our services.
- Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
- Infringe upon the intellectual property rights of Explia Technologies or any third party.
4. Payment and Billing Terms
Fees for our services will be explicitly detailed in the respective project SOW. Unless otherwise stated, all invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges at the maximum rate permitted by law. We reserve the right to suspend services if payment is not received in a timely manner.
5. Disclaimers and Limitation of Liability
5.1 Disclaimer of Warranties: Our services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
5.2 Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Explia Technologies, its directors, employees, partners, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.
6. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
7. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco County, California.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
